Terms of Service

1. Acceptance of Terms

• 1.1. By creating an account, purchasing a subscription, or otherwise using the Service, you agree to be bound by these Terms and by the Privacy Policy at https://knice.test.minice.ai/privacyPolicy.
• 1.2. If you do not agree, do not use the Service.
• 1.3. "We", "us", and "our" refer to Mykhailo Samiliak, operating as a sole proprietor under the trade name "KNICE TECH". "You" refers to the individual using the Service.

2. Description of the Service

• 2.1. The Service provides access to AI-assistant digital products on a subscription basis, including the "Astra" assistant and PRO tier features.
• 2.2. Subscriptions are digital goods delivered electronically. No physical product is shipped.
• 2.3. Features, limits, and product names may change. Material changes to a paid feature you currently use will be communicated by email before they take effect.

3. Eligibility & Accounts

• 3.1. You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a subscription.
• 3.2. Accounts are linked to your Telegram identity through Telegram's OAuth login. You are responsible for keeping your Telegram account secure; activity that occurs under your authenticated session is your responsibility.
• 3.3. One account per person. Do not share, sell, or transfer access.

4. Subscriptions, Pricing, and Payment

• 4.1. Currency & processor. Prices on this site are shown in US Dollars (USD). Payments are processed by Stripe, Inc. (a Delaware corporation). We do not see or store your full card number.
• 4.2. Billing period. Subscription prices and billing periods (e.g. 1 month, 3 months) are displayed at checkout and apply for the term you select.
• 4.3. Taxes. Prices do not include sales tax. Where required by law, applicable taxes will be added at checkout.

5. Automatic Renewal (Opt-In)

• 5.1. Opt-in. Auto-renewal is OFF by default. You must affirmatively enable it at checkout by selecting the "save payment method" option, which authorises us, through Stripe, to charge the same payment method at the end of each billing period.
• 5.2. Disclosure. When you enable auto-renewal, the renewal price, renewal interval, and a clear cancellation method are presented at checkout before you confirm the purchase.
• 5.3. Cancellation. You may turn auto-renewal off at any time from your account profile page on the Service. Cancellation takes effect at the end of the current paid period — you keep access until that period ends and are not charged again.
• 5.4. Price changes. If we change the renewal price, we will notify you by email at least 14 days before the change takes effect, and you may cancel before the new price is charged.
• 5.5. Failed renewal. If a renewal payment fails, your subscription may be suspended. We are not obligated to retry indefinitely.

6. Refund Policy

• 6.1. Subscriptions are digital goods. All sales are final once access has been granted, except as required by applicable law or as described below.
• 6.2. You may request a refund within 7 days of a purchase if the Service failed materially due to our fault and we were unable to resolve it. Refunds in this case are at our reasonable discretion.
• 6.3. Duplicate or fraudulent charges will be refunded once verified.
• 6.4. Refund requests: mishasamil32@gmail.com. Include your Telegram ID and the Stripe transaction date.

7. Acceptable Use

You agree not to:

• resell, redistribute, or rent your subscription access;
• reverse-engineer, decompile, or bypass any technical limitation of the Service;
• use the Service to generate content that is illegal, infringing, defamatory, or that violates a third party's rights;
• attempt to disrupt or overload the Service or any underlying infrastructure;
• use automated means to scrape or extract data beyond your own.

8. Intellectual Property

• 8.1. The Service, including its software, design, and branding, is owned by us and protected by applicable IP laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription.
• 8.2. Content you submit through the Service (e.g. prompts) remains yours. You grant us a limited license to process that content solely to provide the Service.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate or suitable for any particular use.

10. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) USD 100 or (b) the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold us harmless from any claim, demand, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Service.

12. Suspension & Termination

• 12.1. You may stop using the Service at any time. Cancellation of auto-renewal is described in §5.3.
• 12.2. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that creates a security or legal risk. Where reasonable, we will give you notice and an opportunity to cure.
• 12.3. Sections that by their nature should survive termination (e.g. §§6, 8, 9, 10, 11, 13, 14) will survive.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles. Subject to §14, the exclusive venue for any dispute that proceeds to court shall be the state or federal courts located in King County, Washington.

14. Dispute Resolution & Informal Notice

• 14.1. Informal first. Before filing any formal claim, you agree to first contact us at mishasamil32@gmail.com and try to resolve the dispute informally for at least 30 days.
• 14.2. Small claims preserved. Either party may bring an individual claim in small-claims court if it qualifies.
• 14.3. No class actions. Disputes will be brought only on an individual basis and not as a class or representative action.

15. Changes to the Terms

We may update these Terms from time to time. The "Effective date" at the top reflects the latest revision. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
